Code of Conduct The Bottlenoses Inc. (“Bottlenoses” or “Company”) has chosen to contract with you to provide services. As part of your contract, the Company expects you to follow applicable laws, rules and regulations and this Code of Conduct (“Code”) in performing your responsibilities.

The primary role of a Bottlenoses is to provide critical education and guidance to all youth soccer players and their families.

This Code applies to anyone who provides contractual services to the Company. This includes, for example, vendors, contractors, subcontractors or independent contractors of the Company (“Contractors”).

Expectations

As a condition of your agreement with the Company to provide services, you are expected to read this Code, acknowledge that you have received and read this Code and agree to abide by its provisions. In addition, to be eligible to continue contracting with the Company, from time to time you may be asked to participate in a compliance awareness refresher.

Location

This Code appears on our Company’s external website, www.bottlenoses.com. Updates to this document will be circulated in the manner the Company deems to be the most effective for the specific circumstances, and a new acknowledgement may be required at that time. Suspected violations of this Code or any provisions of your agreement with the Company will be reviewed and addressed as appropriate. When a violation of the Code or your agreement has been identified, it may constitute a material breach of your agreement with the Company. This may lead to termination of your contract, recoupment of payments made to you, and/or referral for criminal prosecution or civil action if appropriate.

The Company does not tolerate retaliation against anyone—affiliated with the Company or not—who makes a good faith report of possible issues under this Code.

Legal Issues

It is your responsibility to ensure that you follow the laws and regulations that apply to the services that you provide to or under agreement with the Company.

The Company expects that you will not accept, offer or participate in any fraud, kickbacks, bribes or other arrangements designed to induce referrals or business.

If your agreement with the Company requires that you have a particular credential or license, it is up to you to maintain that credential and/or license, and you must inform the Company or if your credential or license becomes encumbered or restricted or is not renewed or maintained. When a required credential or license is renewed, you should provide a copy to the Company.

Professionalism

When you are working under agreement with the Company, you are expected to be sensitive to the concerns, values and preferences of others, and behave in a manner that supports and promotes a diverse and respectful environment.

The Company provides services that are non-discriminatory to individuals regardless of race, ethnicity, national origin, age, gender, sexual orientation, religion, disability, medical condition, socioeconomic status, or any other status that may be protected under applicable law. Any incident or situation that you believe involves possible discrimination should be brought to the immediate attention of the Company.

You should avoid any actions that may involve, or may appear to involve, a conflict of interest with the services you provide to or under agreement with the Company. You should disclose to the Company any situation where a conflict of interest may arise involving you or your immediate family.

You need to maintaining professional boundaries while working under the Agreement with the Company. You should never:

• use your personal electronic communications (e.g. mobile phones, emails, social networking sites) for contacting minors;

• take photos or videos of a minor with a personal cell phone or camera;

• be alone with minors, including in a car. If one-on-one interaction is necessary, it must take place in an area visible to others or with other appropriate safeguards;

• enter a private space in use by a minor (e.g., a single-occupancy restroom) without another adult present;

• hit, physically assault, or inappropriately touch minors;

• engage in inappropriate physical or sexually provocative games;

• make sexually suggestive comments about or to a young person even in fun; • make sexual materials available in any form to minors or help them access such materials;

• initiate contact with a minor outside of the program without the prior consent of the minor’s guardian;

• sleep in the same room with a minor, unless you are the minor’s parent or guardian;

• accept gifts from or give gifts to minor without the knowledge of their parents or guardians;

• use a personal vehicle to transport minors;

• allow inappropriate, foul, sexualized or discriminatory language to remain unchallenged;

• allow bullying of any form, including name calling or constant criticism;

• 'pick on' a young person because of their family background, manner of dress or physical characteristic;

• practice favoritism and exclusion - all minor should be equally supported and encouraged;

• use abusive language or gestures;

• possess, use, or offer for use any type of weapon or explosive device;

• use, possess, or be under the influence of alcohol or illegal drugs;

• provide or offer alcohol or illegal drugs;

• smoke or use tobacco products at any time while working with minors; • provide or offer prescription or over-the-counter medication to a minor unless the medication has been specifically authorized in writing by the parent or legal guardian; and

• comply with the mandatory reporting regulations of the Company and with the Company policy to report suspected child abuse.

Confidentiality

Information provided by minor will not be used against them, nor will it be shared with others who may use it against them. Minor should be made aware of the contextual limits to confidentiality, and their permission sought for disclosure. Until this happens, the presumption of confidentiality must apply.

Alcohol and Drugs

It is considered as an act of gross misconduct subject to instant dismissal for you to use alcohol or drugs in work time or to smoke tobacco in the presence of minor. You may work with minor using drugs and alcohol or with minor who are under the influence of drugs and alcohol. You are expected to use your discretion to decide when the presence of drugs and alcohol in the youth work situation render the session either unproductive and/or unsafe for the minor. Minor will not be able to use drugs or alcohol during any activity organized by the Company.

Background Check

Prior to delegating you, the Company reserves the right to conduct a background check to ensure that you are not precluded from providing services to the Company as a result of, for example, a disqualifying criminal record.
